1. Overview

These terms govern participation in the Nuerofy Customer Referral Programme, Partner Referral Programme, and Reseller Programme.

By participating in any Nuerofy programme, you agree to these terms.

2. Customer Referral Programme

Eligibility

The Customer Referral Programme is available exclusively to active Nuerofy customers.

Qualifying Referrals

A referral qualifies when:

• The referred organisation is not already a Nuerofy customer.
• The referred organisation is not already in active discussions with Nuerofy.
• The referral is submitted through an approved Nuerofy referral process.
• The referred organisation purchases a Nuerofy subscription.

Rewards

Once the referred organisation becomes an active Nuerofy customer:

The referring customer may receive:

• Up to £250 Nuerofy platform credit; or
• Up to 25,000 Nuerofy AI Credits.

The reward available may vary depending on the subscription purchased by the referred organisation and the current programme incentives in place at the time.

The referred organisation may receive:

• Up to 25,000 Nuerofy AI Credits.

Reward values and incentives may vary from time to time and will be communicated as part of the active Customer Referral Programme.

Reward Activation

Rewards are activated once the referred organisation’s subscription has been confirmed and payment has been received.

3. Partner Referral Programme

Eligibility

The Partner Referral Programme is available to consultants, advisors, agencies, and organisations that introduce prospective customers to Nuerofy.

Partners are not required to be Nuerofy customers.

Participation is subject to approval by Nuerofy.

Qualifying Referrals

A referral qualifies when:

• The organisation is not an existing Nuerofy customer.
• The organisation is not already in active discussions with Nuerofy.
• The referral is submitted through an approved Nuerofy referral process.
• The referred organisation becomes a paying Nuerofy customer.

Commission

Approved partners may receive recurring commission on qualifying subscriptions.

Commission rates, payment schedules, qualifying products, payment durations, and eligibility criteria will be agreed separately in writing.

Payment

Commission payments are only payable on active, fully paid subscriptions.

No commission is payable on cancelled, refunded, disputed, suspended, or unpaid subscriptions.

Referral Ownership

Where multiple parties claim the same opportunity, Nuerofy reserves the right to determine referral ownership.

Nuerofy’s decision shall be final.

4. Reseller Programme

Eligibility

The Reseller Programme is available to approved organisations wishing to market and deliver Nuerofy under their own brand.

Participation is subject to approval by Nuerofy.

White-Label Platform

Approved resellers may access and use Nuerofy’s white-label platform in accordance with their reseller agreement.

Customer Management

Resellers are responsible for managing their own customers, pricing, sales activities, and first-line support unless otherwise agreed in writing.

Branding

Resellers may apply their own branding to approved areas of the platform as permitted under their reseller agreement.

Fees

Reseller pricing, revenue share arrangements, minimum commitments, and service levels will be detailed within the applicable reseller agreement.

Intellectual Property

All software, technology, intellectual property rights, trademarks, content, and platform functionality remain the property of Nuerofy unless otherwise agreed in writing.

5. General Programme Rules

No Self-Referrals

Individuals and organisations may not refer themselves, associated companies, subsidiaries, parent companies, or organisations under common ownership or control.

Non-Transferable Benefits

Rewards, commissions, credits, and benefits are non-transferable and may not be exchanged for cash unless explicitly agreed by Nuerofy.

Taxes

Participants are solely responsible for any tax liabilities arising from rewards, commissions, credits, or other programme benefits.

Fraudulent Activity

Nuerofy reserves the right to withhold rewards, commissions, credits, or participation where fraudulent, misleading, abusive, or suspicious activity is suspected.

Approval Rights

Nuerofy reserves the right to accept or reject any application, referral, partner, reseller, or participant at its sole discretion.

Programme Changes

Nuerofy reserves the right to amend, suspend, withdraw, replace, or terminate any programme, reward, commission structure, eligibility criteria, benefit, or promotional offer at any time without liability.

Termination

Nuerofy may suspend or terminate participation in any programme where these terms are breached.

6. Liability

Nuerofy shall not be liable for any indirect, consequential, special, incidental, or economic losses arising from participation in any programme.

Nuerofy’s total liability shall not exceed the value of rewards, credits, commissions, or fees paid under the relevant programme.

7. Governing Law

These terms shall be governed by and interpreted in accordance with the laws of England and Wales.

Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
